1. Acceptance of Terms

By accessing or using Kounteroffer ("the Service") at kounteroffer.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users, including those with paid subscriptions.

2. Description of Service

Kounteroffer provides AI-powered negotiation coaching for marketplace transactions. The Service analyzes listing information you provide and generates suggested offers, messages, and negotiation strategies. The Service is intended for informational and educational purposes only.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these terms.

4. Subscriptions and Billing

Kounteroffer offers the following subscription plans:

• Basic — $9.00 USD per month
• Pro — $19.00 USD per month
• Flipper — $39.00 USD per month

All plans include a 7-day free trial (14 days for Flipper). Your subscription will automatically renew each month unless cancelled. You authorize us to charge your payment method on a recurring basis. All payments are processed securely through Stripe.

5. Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you will retain access to the Service until that date. We do not offer refunds for partial months of service. If you cancel during a free trial, you will not be charged.

In exceptional circumstances, refund requests may be considered on a case-by-case basis. Contact us at [email protected] within 7 days of a charge to request a review.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. KOUNTEROFFER DOES NOT WARRANT THAT:

• The AI-generated negotiation advice will result in a successful transaction or any specific savings
• Market value estimates will be accurate or reflect current market conditions
• The Service will be uninterrupted, error-free, or free of viruses
• Results obtained through the Service will meet your expectations

Negotiation outcomes depend on many factors outside our control including seller behavior, market conditions, and your own judgment. You use the Service at your own risk.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KOUNTEROFFER AND ITS OWNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

• Any financial loss resulting from a transaction you entered into based on our coaching
• Any dispute with a buyer or seller
• Loss of data, profits, or goodwill
• Any reliance on AI-generated advice

Our total liability to you for any claim arising from use of the Service shall not exceed the amount you paid us in the 30 days preceding the claim.

8. Acceptable Use

You agree not to use the Service to:

• Facilitate fraud, scams, or deceptive practices against other parties
• Violate any applicable laws or regulations
• Harass, threaten, or harm other individuals
• Attempt to reverse engineer, scrape, or copy our AI system
• Share your account credentials with others
• Use the Service for any commercial resale without our written permission

We reserve the right to suspend or terminate your account if you violate these terms.

9. Intellectual Property

All content, features, and functionality of the Service — including but not limited to the AI system, website design, logos, and text — are owned by Kounteroffer and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

You retain ownership of any listing content you submit. By submitting content, you grant us a limited license to process it for the purpose of delivering the Service.

10. Indemnification

You agree to indemnify and hold harmless Kounteroffer and its owners from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.

11. Governing Law

These terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Ontario, Canada.

12. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes by posting the updated terms on this page with a new date. Continued use of the Service after changes constitutes your acceptance of the new terms.
